Introduction

Beckman Coulter, Inc. (referred to as "BCI", “we”, “us” or “our”, as applicable) provides you with access to the e-Store (the “Site”) subject to the terms and conditions contained in this Terms of Use Agreement (the “Agreement”). Please read this Agreement carefully and note that this Site is governed by the laws of the State of California, United States of America. By accessing or using this Site, you agree without restriction to be bound by this Agreement and consent to U.S. law. Use of this Site for placing orders is limited to only residents of the United States, United Kingdom, Germany, and France. If you do not agree to follow and be bound by this Agreement, you may not access, use or download materials from this Site.

Please note that if you are an existing customer or supplier of BCI, these terms and conditions are not intended to replace or modify those contained in your customer or vendor agreement. In case of an inconsistency, the terms and conditions of your written agreement will prevail over those contained herein.

All BCI products and services are subject to separate terms and conditions which govern their use and purchase. Depending on which country your sales order originates, the terms and conditions originating from BCI or its applicable local affiliate will apply to your purchase and use of the product. All sales orders will be filled by the Beckman Coulter affiliate identified in the applicable terms and conditions, generally as follows: (i) Beckman Coulter, Inc. for the U.S.; (ii) Beckman Coulter United Kingdom Ltd. for the UK; (iii) Beckman Coulter GmbH for Germany; and (iv) Beckman Coulter France S.A. for France.

BCI reserves the right to update or modify this Agreement at any time without prior notice. Your use of this Site following any such change constitutes your agreement to follow and be bound by this Agreement as revised. For this reason, we encourage you to review this Agreement each time you use this Site. This Agreement was last revised on June 1, 2007.

The Availability of the Site and International Users

The Site is administered by BCI from Brea, CA in the United States. This Site and its contents (the “Content”) are designed to comply with United States laws and regulations and are intended for use by United States residents. Access to the Site and the Content may not be legal by certain persons or in certain countries outside of the United States. If you access this Site from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. Materials published on this Site may refer to products or services that are not available in your country. Consult your local BCI representative for more information. Furthermore, BCI makes no representation that the materials on the Site are appropriate or available for use at other locations outside of the United States and access to them from countries where their contents are illegal is prohibited. You should not construe anything on the Site as a promotion or solicitation for any product or for the use of any product that is not authorized by the laws and regulations of the country in which you are located.

Public and Unsolicited Information

This Site may provide opportunities to provide BCI feedback regarding this Site and our products and other unsolicited submissions (collectively, “Unsolicited Information”). You may only provide Unsolicited Information which meets the requirements of these Terms and Conditions.

Subject to the conditions provided herein, we accept innovative ideas for new products and technologies to our company by individuals and organizations not employed by or affiliated with BCI so long as such inventions are covered by existing patents or are those for which patents have been applied for by the submitter.

BCI and its employees do not accept or consider other unsolicited ideas, including ideas for new advertising campaigns, new promotions, new products or technologies, processes, materials, marketing plans or new product names. Please do not send any original creative artwork, samples, demos, or other works. The sole purpose of this policy is to avoid potential misunderstandings or disputes when BCI's products or marketing strategies might seem similar to ideas submitted to BCI. So, except under the circumstances described above relating to patented ideas or those for which you have filed a patent application, please do not send your unsolicited ideas to BCI or anyone at BCI.

If, despite our request that you not send us your ideas and materials, you still send them, and in the event you post Public Information on our Site, all such Public Information and all such Unsolicited Information will be considered NON-CONFIDENTIAL and NON-PROPRIETARY and BCI and its affiliates are free to use such information for any purpose and in any manner whatsoever.

All items purchased from BCI using this Site are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

Pricing

With respect to items sold by BCI using this Site, we cannot confirm the price of an item until you order. Despite our best efforts, a small number of the items on our Site may be mispriced. If an item's correct price is higher than our stated price, we will, at our discretion, either contact you for instructions before shipping or cancel your order and notify you of such cancellation. This Agreement constitutes the entire agreement between you and BCI with respect to your access to and/or use of this Site. Any claims arising in connection with your use of the Site or any Content must be brought within one (1) year of the date of the event giving rise to such action occurred. All provisions of this Agreement pertaining to indemnification, disclaimer or warranties, limitation of liability and proprietary rights shall survive the termination of this Agreement for any reason. 1. Geltungsbereich Verkäufe und Lieferungen der Beckman Coulter GmbH (nachfolgend: "Beckman Coulter") erfolgen ausschließlich nach Maßgabe der folgenden Allgemeinen Verkaufs- und Lieferbedingungen (nachfolgend: "Lieferbedingungen"), welche der Besteller durch die Erteilung des Auftrages oder die Entgegennahme der Lieferung anerkennt. Sie gelten auch für alle zukünftigen Geschäfte mit dem Besteller. Die Geltung abweichender und ergänzender Geschäftsbedingungen des Bestellers ist ausgeschlossen, auch wenn Beckman Coulter diesen nicht ausdrücklich widerspricht.

2. Vertragsschluss

2.1 Die Angebote von Beckman Coulter sind freibleibend. Ein Vertrag kommt erst durch die schriftliche Auftragsbestätigung von Beckman Coulter zustande und richtet sich ausschließlich nach dem Inhalt der Auftragsbestätigung und nach diesen Lieferbedingungen. Mündliche Abreden oder Zusagen bedürfen zu ihrer Wirksamkeit der schriftlichen Bestätigung durch Beckman Coulter.

2.2 Beckman Coulter behält sich alle Rechte an den Verkaufsunterlagen (insbesondere Abbildungen, Zeichnungen, Gewichts- und Maßangaben) und den Mustern vor. Sie dürfen Dritten nicht zugänglich gemacht werden und sind Beckman Coulter auf Aufforderung unverzüglich zurückzugeben. Nur nach vorheriger schriftlicher Zustimmung von Beckman Coulter dürfen solche Unterlagen an Dritte weitergegeben werden.

2.3 Der Außendienst von Beckman Coulter kann keine Verträge abschließen und keine verbindlichen Zusagen hinsichtlich des Liefergegenstandes oder sonstiger Konditionen machen.

3. Lieferfristen und - termine

3.1 Liefertermine und Lieferfristen sind nur verbindlich, wenn sie von Beckman Coulter schriftlich bestätigt worden sind und der Besteller Beckman Coulter alle zur Ausführung der Lieferung erforderlichen Informationen und Unterlagen rechtzeitig mitgeteilt bzw. zur Verfügung gestellt und etwa vereinbarte Anzahlungen vereinbarungsgemäß gezahlt hat. Vereinbarte Fristen beginnen mit dem Datum der Auftragsbestätigung. Bei später erteilten Zusatz- oder Erweiterungsaufträgen verlängern sich die Fristen entsprechend.

3.2 Soweit regelmäßige Lieferungen von Reagenzien im Rahmen eines Dauerauftrages vereinbart sind, wird Beckman Coulter sie im Falle der Auslieferung vom Werk Krefeld bis zum 6. Werktag jedes vertraglich vereinbarten Liefermonats ab Werk Krefeld versenden; bei Auslieferung über Beckman Coulters Außenlager richten sich Versand und Liefertermine nach den jeweiligen festen Tourenplänen; sie werden auf Wunsch mitgeteilt.

3.3 Unvorhersehbare, unvermeidbare und außerhalb des Einflussbereichs von Beckman Coulter liegende und von Beckman Coulter nicht zu vertretende Ereignisse wie höhere Gewalt, Krieg, Naturkatastrophen entbinden Beckman Coulter für ihre Dauer von der Pflicht zur rechtzeitigen Lieferung oder Leistung. Vereinbarte Fristen verlängern sich um die Dauer der Störung; vom Eintritt der Störung wird der Besteller in angemessener Weise unterrichtet. Ist das Ende der Störung nicht absehbar oder dauert sie länger als zwei Monate, ist jede Partei berechtigt, vom Vertrag zurückzutreten.

3.4 Kommt der Besteller in Annahmeverzug oder verletzt er sonstige Mitwirkungspflichten, so ist Beckman Coulter berechtigt, die Ware auf Gefahr und Kosten des Bestellers angemessen einzulagern. Beckman Coulter ist unbeschadet ihrer sonstigen Rechte zum Rücktritt vom Vertrag berechtigt, wenn eine dem Besteller gesetzte angemessene Nachfrist zur Abnahme der Lieferung erfolglos verstreicht.

3.5 Beckman Coulter kann aus begründetem Anlass Teillieferungen vornehmen.

4. Versand, Gefahrübergang, Versicherungen

4.1 Soweit vom Besteller keine Bestimmung getroffen ist, erfolgt die Versendung auf einem angemessenen Versendungsweg in der üblichen Verpackung.

4.2 Die Gefahr geht mit der Übergabe des Liefergegenstandes an das Transportunternehmen oder den Besteller selbst auf den Besteller über. Verzögern sich die Übergabe oder Versendung aus von dem Besteller zu vertretenden Gründen, so geht die Gefahr am Tage der Mitteilung der Versandbereitschaft des Liefergegenstandes auf den Besteller über.

4.3 Versicherungen erfolgen nur auf Wunsch und auf Kosten des Bestellers.

4.4 Für die Lieferung oder Versendung der Liefergegenstände werden dem Besteller Verpackungs- und Transportkosten in Rechnung gestellt. Bei Lieferungen mit einem Warenwert bis 500 EUR wird eine Pauschale von 15 EUR berechnet. Bei Lieferungen mit einem Warenwert über 500 EUR entfällt die Pauschale sowie bei regelmäßigen Lieferungen im Rahmen von Daueraufträgen. Hiervon ausgenommen sind Lieferungen von Ersatzteilen. In allen Fällen von Eil- , Express- , Luftfracht oder Luftpostsendungen, Nachnahmen werden die diesbezüglichen Mehrkosten berechnet. Für Geräte- lieferungen erheben wir 0,25% Frachtkosten zum Warenwert. Bei Eilzustellungen bis 09:00 Uhr berechnen wir EUR 40,- , bis 12:00 Uhr werden EUR 10,- in Rechnung gestellt. Für Samstagszustellungen berechnen wir eine Pauschale von EUR 50,- . Sonder- und Eilzustellungen über TNT- Mehrwertlogistik werden gewichtsabhängig zuzüglich eventueller Eilzuschläge in Rechnung gestellt. Bei Lieferungen mit Trockeneis berechnen wir zusätzlich eine Pauschale von 10 EUR.

5. Preise, Zahlungsbedingungen

5.1 Haben sich die Vertragsparteien nicht auf einen bestimmten Preis geeinigt, so bestimmt sich der Preis nach der zum Zeitpunkt des Vertragsschlusses gültigen Preisliste von Beckman Coulter. Erfolgt die Lieferung des Liefergegenstandes erst 4 Monate nach Vertragsschluss, aus Gründen, die vom Besteller zu vertreten sind, behält Beckman Coulter sich eine Preisanpassung vor.

5.2 Die Parteien sind sich darüber einig, dass alle sich aus diesem Vertrag ergebenden Zahlungsverpflichtungen in EUR vereinbart gelten. Die Umrechnung von Deutscher Mark in EUR erfolgt auf Grundlage des amtlichen Umrechnungskurses.

5.3 Jede Rechnung wird innerhalb von 30 Tagen ab Rechnungsdatum ohne Abzug zur Zahlung fällig. Zahlungen des Bestellers gelten erst dann als erfolgt, wenn Beckman Coulter über den Betrag verfügen kann.

5.4 Beckman Coulter ist berechtigt, den Besteller jederzeit nach Ablauf der in Ziffer 5.3 gesetzten Zahlungsfrist durch eine Mahnung in Verzug zu setzen. Soweit der Besteller nicht durch eine Mahnung von Beckman Coulter in Verzug gesetzt worden ist, kommt er in jedem Falle 30 Tage nach Ablauf der in Ziffer 5.3 gesetzten Zahlungsfrist und Zugang der Rechnung in Verzug.

5.5 Befindet sich der Besteller in Zahlungsverzug, ist Beckman Coulter berechtigt, Verzugszinsen in Höhe von 8 Prozentpunkten über dem jeweiligen Basiszinssatz per annum zu verlangen. Die Geltendmachung eines weiteren Verzugsschadens bleibt unberührt.

5.6 Wechsel und Schecks werden nur nach besonderer Vereinbarung und für Beckman Coulter kosten- und spesenfrei erfüllungshalber hereingenommen.

5.7 Zur Aufrechnung ist der Besteller nur berechtigt, wenn sein Gegenanspruch unbestritten oder rechtskräftig festgestellt ist.

5.8 Zur Geltendmachung eines Zurückbehaltungsrechtes ist der Besteller nur insoweit befugt, als sein Gegenanspruch auf dem gleichen Vertrag beruht und unbestritten oder rechtskräftig festgestellt ist.

5.9 Wird Beckman Coulter nach dem Vertragsschluss eine wesentliche Verschlechterung der Vermögensverhältnisse des Bestellers bekannt, (z.B. weil der Besteller in Zahlungsverzug gerät), ist Beckman Coulter berechtigt, noch ausstehende Lieferungen oder Leistungen nur gegen Vorauszahlung oder Sicherheitsleistung zu erbringen; werden diese auch nach Ablauf einer angemessenen Nachfrist nicht erbracht, so kann Beckman Coulter unbeschadet weiterer Rechte von dem Vertrag ganz oder teilweise zurücktreten.

6. Gewährleistung, Untersuchungspflicht

6.1 Gewährleistungsrechte des Bestellers setzen voraus, dass er den Liefergegenstand nach Übergabe überprüft und Beckman Coulter Mängel unverzüglich, spätestens jedoch zwei Wochen nach Übergabe, schriftlich mitteilt; verborgene Mängel müssen Beckman Coulter unverzüglich nach ihrer Entdeckung schriftlich mitgeteilt werden.

6.2 Bei jeder Mängelrüge steht Beckman Coulter das Recht zur Besichtigung und Prüfung des beanstandeten Liefergegenstandes zu. Dafür wird der Besteller Beckman Coulter notwendige Zeit und Gelegenheit einräumen. Beckman Coulter kann von dem Besteller auch verlangen, dass er den beanstandeten Liefergegenstand an Beckman Coulter auf Kosten von Beckman Coulter zurückschickt. Bei Rücksendungen sind die Geräte zu desinfizieren und die jeweiligen besonderen Gefahrenvorschriften zu beachten. Erweist sich eine Mängelrüge des Bestellers als vorsätzlich oder grob fahrlässig unberechtigt, so ist er Beckman Coulter zum Ersatz aller in diesem Zusammenhang entstandenen Aufwendungen - z.B. Fahrt- und Monteurkosten oder Versandkosten - verpflichtet.

6.3 Beckman Coulter ist berechtigt, gewährleistungspflichtige Mängel nach eigener Wahl durch für den Besteller kostenlose Nachbesserung oder Ersatzlieferung des fehlerhaften Teiles oder des ganzen Liefergegenstandes zu beseitigen.

6.4 Der Besteller wird Beckman Coulter die für die Nachbesserung bzw. Ersatzlieferung notwendige Zeit und Gelegenheit einräumen.

6.5 Sofern Beckman Coulter Teile ersetzt hat, gehen die entfernten Teile in das Eigentum von Beckman Coulter über.

6.6 Beckman Coulter übernimmt keine Gewähr für Schäden, die durch ungeeignete oder unsachgemäße Verwendung, fehlerhafte Montage, fehlerhafte Inbetriebnahme, fehlerhafte Behandlung oder fehlerhaften Einbau durch den Besteller oder durch natürliche Abnutzung entstehen, sofern die Schäden nicht von Beckman Coulter zu vertreten sind.

6.7 Die zum Zwecke der Nachbesserung oder Ersatzlieferung anfallenden Material-, Versendungs- und Arbeitskosten übernimmt Beckman Coulter, sofern der von dem Besteller beanstandete Mangel tatsächlich festgestellt wird.

6.8 Schlägt die Beseitigung eines gewährleistungspflichtigen Mangels durch Nachbesserung oder Ersatzlieferung fehl, so kann der Besteller nach seiner Wahl den den mangelhaften Liefergegenstand betreffenden Vertrag rückgängig machen oder eine angemessene Herabsetzung des Preises verlangen.

6.9 Die Verjährungsfrist für den Gewährleistungsanspruch für neu hergestellte Liefergegenstände beträgt 12 Monate, für gebrauchte Liefergegenstände 6 Monate, jeweils seit dem Zeitpunkt der Ablieferung.

6.10 Alle weitergehenden Ansprüche des Bestellers sind ausgeschlossen, soweit nicht Ziffer 7 etwas anderes vorsieht.

7. Schadensersatz und Haftungsbeschränkung

7.1 Beckman Coulter haftet auf Schadensersatz

(i) für Schäden, die in vorsätzlicher oder grob fahrlässiger Weise von Beckman Coulter oder ihren gesetzlichen Vertretern oder Erfüllungsgehilfen verursacht werden;

(ii) bei leicht fahrlässiger Verletzung wesentlicher Vertragspflichten, jedoch unter Beschränkung auf den vertragstypischen vorhersehbaren Schaden;

(iii) nach den Bestimmungen des Produkthaftungsgesetz und etwaigen anderen zwingenden gesetzlichen Haftungsvorschriften;

(iv) ansonsten für schuldhaft von Beckman Coulter oder ihren gesetzlichen Vertretern oder Erfüllungsgehilfen verursachte Personenschäden.

7.2 Ist keine der Fallgruppen aus Ziffer 7.1 erfüllt, haftet Beckman Coulter nicht auf Schadensersatz.

7.3 Die Ziffern 7.1 und 7.2 finden Anwendung auf alle Schadensersatzansprüche, gleich aus welchem Rechtsgrund, insbesondere auch für die Haftung wegen unerlaubter Handlung, positiver Vertragsverletzung und Verschuldens bei Vertragsverhandlungen.

7.4 Der Besteller ist verpflichtet, angemessene Maßnahmen zur Schadensabwehr und - minderung zu treffen.

8. Eigentumsvorbehalt

8.1 Die gelieferten Produkte bleiben bis zur vollständigen Bezahlung sämtlicher Forderungen von Beckman Coulter aus der Geschäftsverbindung mit dem Besteller das Eigentum von Beckman Coulter.

8.2 Bei laufender Rechnung gilt das vorbehaltene Eigentum zur Sicherung der Beckman Coulter zustehenden Saldoforderung.

8.3 Eine Veräußerung der Vorbehaltsprodukte ist dem Besteller nur im ordnungsgemäßen Geschäftsverkehr gestattet. Der Besteller ist nicht berechtigt, die Vorbehaltsprodukte zu verpfänden, zur Sicherheit zu übereignen oder sonstige das Eigentum von Beckman Coulter gefährdende Verfügungen zu treffen. Der Besteller tritt schon jetzt die Forderung aus der Weiterveräußerung an Beckman Coulter ab; Beckman Coulter nimmt diese Abtretung schon jetzt an. Veräußert der Besteller die Vorbehaltsprodukte nach Verbindung mit anderen Waren oder zusammen mit anderen Waren, so gilt die Forderungsabtretung nur in Höhe des Teils vereinbart, der dem zwischen Beckman Coulter und dem Besteller vereinbarten Preis zuzüglich einer Sicherheitsmarge von 10 % dieses Preises entspricht. Der Besteller ist widerruflich ermächtigt, die an Beckman Coulter abgetretenen Forderungen treuhänderisch für Beckman Coulter im eigenen Namen einzuziehen. Beckman Coulter kann diese Ermächtigung sowie die Berechtigung zur Weiterveräußerung widerrufen, wenn der Besteller mit wesentlichen Verpflichtungen wie beispielsweise der Zahlung gegenüber Beckman Coulter in Verzug ist.

8.4 Werden die Vorbehaltsprodukte mit anderen Gegenständen verbunden, so erwirbt Beckman Coulter das Miteigentum an der neuen Sache im Verhältnis des Wertes der Vorbehaltsprodukte zu den anderen Gegenständen zum Zeitpunkt der Verbindung. Erfolgt die Verbindung in der Weise, dass die Sache des Bestellers als Hauptsache anzusehen ist, so gilt als vereinbart, dass der Besteller Beckman Coulter anteilmäßig Miteigentum überträgt. Das so entstandene Miteigentum wird der Besteller für Beckman Coulter verwahren.

8.5 Der Besteller wird Beckman Coulter jederzeit alle gewünschten Informationen über die Vorbehaltsprodukte oder über Ansprüche, die hiernach an Beckman Coulter abgetreten worden sind, erteilen. Zugriffe oder Ansprüche Dritter auf Vorbehaltsprodukte hat der Besteller sofort und unter Übergabe der notwendigen Unterlagen Beckman Coulter anzuzeigen. Der Besteller wird zugleich den Dritten auf den Eigentumsvorbehalt von Beckman Coulter hinweisen. Die Kosten einer Abwehr solcher Zugriffe und Ansprüche trägt der Besteller.

8.6 Der Besteller ist verpflichtet, die Vorbehaltsprodukte für die Dauer des Eigentumsvorbehaltes sorgfältig zu behandeln.

8.7 Übersteigt der realisierbare Wert der Sicherheiten die gesamten zu sichernden Forderungen von Beckman Coulter um mehr als 10 %, so ist der Besteller berechtigt, insoweit Freigabe zu verlangen.

8.8 Kommt der Besteller mit wesentlichen Verpflichtungen wie beispielsweise der Zahlung gegenüber Beckman Coulter in Verzug, so kann Beckman Coulter unbeschadet sonstiger Rechte die Vorbehaltsprodukte zurücknehmen und zwecks Befriedigung fälliger Forderungen gegen den Besteller anderweitig verwerten. In diesem Falle wird der Besteller Beckman Coulter oder den Beauftragten von Beckman Coulter sofort Zugang zu den Vorbehaltsprodukten gewähren und diese herausgeben. Verlangt Beckman Coulter die Herausgabe aufgrund dieser Bestimmung, so gilt dies nicht als Rücktritt vom Vertrag, es sei denn, das Verbraucherkreditgesetz fände Anwendung.

8.9 Bei Lieferungen in andere Rechtsordnungen, in denen die vorstehende Eigentumsvorbehaltsregelung nicht die gleiche Sicherungswirkung hat wie in Deutschland, wird der Besteller alles tun, um Beckman Coulter unverzüglich entsprechende Sicherungsrechte zu bestellen. Der Besteller wird an allen Maßnahmen wie beispielsweise Registrierung, Publikation usw. mitwirken, die für die Wirksamkeit und Durchsetzbarkeit derartiger Sicherungsrechte notwendig und förderlich sind.

8.10 Auf Verlangen von Beckman Coulter ist der Besteller verpflichtet, die Vorbehaltsprodukte angemessen zu versichern, Beckman Coulter den entsprechenden Versicherungsnachweis zu erbringen und die Ansprüche aus dem Versicherungsvertrag an Beckman Coulter abzutreten.

9. Produkthaftung Veräußert der Besteller die Liefergegenstände unverändert oder nach Verbindung mit anderen Waren, so stellt er Beckman Coulter im Innenverhältnis von Produkthaftungsansprüchen Dritter frei, soweit er für den die Haftung auslösenden Fehler verantwortlich ist.

10. Gewerbliche Schutzrechte Schreibt der Besteller durch bestimmte Anweisungen, Angaben, Unterlagen, Entwürfe oder Zeichnungen vor, wie Beckman Coulter die zu liefernden Produkte fertigen soll, so übernimmt der Besteller die Gewähr, dass durch Beckman Coulter die Rechte Dritter wie Patente, Gebrauchsmuster und sonstige Schutz- und Urheberrechte nicht verletzt werden. Der Besteller stellt Beckman Coulter von allen Ansprüchen Dritter frei, die diese wegen einer solchen Verletzung gegen Beckman Coulter geltend machen mögen.

11. Allgemeine Bestimmungen

11.1 Änderungen und Ergänzungen des Vertrages und/oder dieser Lieferbedingungen sowie Nebenabreden bedürfen der Schriftform. Dies gilt auch für eine Abänderung dieses Schriftformerfordernisses.

11.2 Ist eine Bestimmung des Vertrags und/oder dieser Verkaufsbedingungen ganz oder teilweise unwirksam, so bleibt die Wirksamkeit der übrigen Bestimmungen hiervon unberührt. Die Parteien verpflichten sich in diesem Fall, die unwirksame Bestimmung durch diejenige wirksame Bestimmung zu ersetzen, die dem wirtschaftlichen Zweck der unwirksamen Bestimmung am nächsten kommt.

11.3 Ist der Besteller Kaufmann, juristische Person des öffentlichen Rechts oder ein öffentlich- rechtliches Sondervermögen, so ist ausschließlicher Gerichtsstand für alle Streitigkeiten aus dem Vertragsverhältnis Krefeld. Dies gilt ebenso, falls der Besteller keinen allgemeinen Gerichtsstand in der Bundesrepublik Deutschland hat oder seinen gewöhnlichen Aufenthaltsort nach Vertragsschluss ins Ausland verlegt hat. Beckman Coulter ist jedoch berechtigt, den Besteller an jedem anderen gesetzlichen Gerichtsstand zu verklagen.

11.4 Es gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN- Kaufrechts (CISG).

Les ventes sont soumises aux présentes conditions générales et toutes dérogations et conditions particulières doivent être expressément prévues sur les accusés de réception de commande.

1 - OFFRES

Sauf stipulation particulière, les offres sont toujours faites sans engagement, tant en ce qui concerne les caractéristiques des marchandises que de leur prix et des délais de livraison.

2 - COMMANDES

Les commandes resteront strictement personnelles à leurs auteurs et ne pourront être cédées à des tiers qu’avec l’accord préalable et écrit de BECKMAN COULTER France et sous la responsabilité solidaire des premiers bénéficiaires.

Les commandes sont acceptées en considération de la situation juridique et financière des acheteurs à l’époque de leur passation. Toute modification postérieure, susceptible de compromettre sérieusement le respect des engagements pris autorisera BECKMAN COULTER France à résilier de plein droit le contrat.

3 - EXPORTATION

L’acceptation des commandes est fonction de la compétence territoriale reconnue à BECKMAN COULTER France au sein du Groupe BECKMAN COULTER et accordée sous réserve de l'autorisation d’exportation des autorités du pays d'origine et notamment, pour les U.S.A., du Département d'Etat américain.

En conséquence, l’exportation des marchandises vendues, en dehors des pays membres de l’Union Européenne et de l’AELE, est formellement interdite, sauf stipulation expresse de BECKMAN COULTER France.

4 - DELAIS DE LIVRAISON

Les délais de livraison indiqués lors de la commande courent à compter du jour de l’édition de l’accusé de réception de commande. Ces délais de livraison sont toujours indicatifs.

Les délais de livraison seront prolongés en cas de force majeure ou de cas fortuit et, plus généralement, en raison de tout événement qui, indépendamment de la volonté de BECKMAN COULTER France, aura retardé la fabrication ou le transport des marchandises vendues.

La livraison s’entend de l'arrivée des marchandises chez le client, à l’exclusion des opérations ultérieures de réception technique, de montage et de mise en service.

En cas de retard dans la livraison et hormis les cas de force majeure ou de cas fortuit, la responsabilité de BECKMAN COULTER France ne pourra éventuellement être recherchée qu’à l’expiration d’un délai de trois mois suivant la date de mise en demeure de livrer qui devra lui être faite par lettre recommandée avec accusé de réception.

En cas de retard dans la livraison, il ne peut être réclamé de pénalités de retard, de dommages et intérêts et indemnités que dans la seule mesure où ils auront été expressément convenus.

5 - LIVRAISONS

Les marchandises vendues seront livrées, marquées et emballées suivant les normes habituelles de BECKMAN COULTER France et il ne pourra être dérogé à ces normes qu'exceptionnellement et aux frais de l'acheteur.

Quelles que soient les conditions de livraison, les marchandises, bien qu’assurées par BECKMAN COULTER France, sont toujours transportées aux risques et périls de l’acheteur auquel il appartiendra, le cas échéant, d’exercer contre les transporteurs les recours prévus par la loi.

La livraison des marchandises chez le client est exclusive de toutes opérations de manutention et de mise en place dans les locaux d’utilisation.

Ces opérations restent à la charge du client et sous sa propre responsabilité, quelle que soit l’intervention éventuelle du personnel de BECKMAN COULTER France.

6 - RECLAMATIONS

Indépendamment du recours à exercer auprès du transporteur, les réclamations concernant les avaries constatées à la livraison devront être signalées à BECKMAN COULTER France, par écrit, le jour même de la livraison et, au plus tard, dans les 24 heures.

Pour toutes autres défectuosités ou pièces manquantes, BECKMAN COULTER France devra en être informée, par écrit, dans les 30 jours de la remise des marchandises, sous réserve des dispositions prévues ci-dessous concernant la garantie.

Aucun retour des marchandises ne sera accepté sans l’autorisation préalable et écrite de BECKMAN COULTER France.

7 - FORCE MAJEURE

Tout cas fortuit ou de force majeure, c’est-à-dire tout événement imprévisible à la conclusion du contrat, échappant au contrôle BECKMAN COULTER France et la mettant dans l’impossibilité d’exécuter tout ou partie de ses engagements, suspend de plein droit ses obligations et l’en déchargent éventuellement, sans préavis ni indemnité, s’il présente un caractère définitif.

8 - MISE EN SERVICE DU MATERIEL

Pour les appareils dont la mise en service est comprise dans les prix de vente, BECKMAN COULTER France procédera gratuitement à l’installation et à la mise en route des appareils sous réserve que soient remplies les conditions suivantes :

A défaut, BECKMAN COULTER France pourra, à sa convenance, soit refuser d’effectuer la mise en route, soit l’effectuer aux frais de l’acheteur.

L’installation se fera obligatoirement sous le contrôle des techniciens BECKMAN COULTER France, à moins qu’il n’en ait été, au préalable, décidé autrement.

L’intervention de ces techniciens se limite à la mise en état de fonctionnement des appareils et à la formation du personnel chargé de leur utilisation. Elle ne peut s’étendre à l’étude ou à la mise en œuvre des applications pratiques que le client entend faire des appareils.

La mise en place devra être faite par les soins et sous la responsabilité du client dans les conditions assurant le fonctionnement correct des appareils et répondant aux normes légales et réglementaires de sécurité.

L’intervention des techniciens de BECKMAN COULTER France est soumise aux conditions indiquées dans le paragraphe ci-contre "RESPONSABILITE GENERALE"

9 - ENTRETIEN DU MATERIEL

Lors des opérations de mise en service et d'entretien faisant appel au personnel de BECKMAN COULTER France, leur intervention est soumise aux conditions du paragraphe ci-dessous "RESPONSABILITE GENERALE".

10 - GARANTIE

a) Les réactifs et consommables sont garantis pendant toute la durée de validité figurant sur leur emballage.

b) Le matériel est garanti pour une période d’un an contre tous vices de fabrication ou de matière. Cette garantie ne couvre pas les pièces dites de consommation, ni le petit entretien et les réglages décrits dans les manuels d’utilisation fournis avec les matériels.

Cette garantie court du jour de la mise en service du matériel, et au plus tard dans les 30 jours qui suivront la remise du matériel au client. Ce délai sera prolongé si le retard dans la mise en route est imputable à BECKMAN COULTER France. La garantie laisse le choix à BECKMAN COULTER France, soit de réparer ou de remplacer la pièce défectueuse, soit de remplacer le matériel. Les coûts de transport du matériel ou des pièces défectueuses et du matériel remplacé ou réparé resteront à la charge de BECKMAN COULTER France, mais les travaux éventuels de démontage et de remontage rendus nécessaires par les conditions d’utilisation ou d’implantation de ce matériel, et concernant des éléments non compris dans la fourniture en cause, seront supportés par le client. La durée de la garantie sera prolongée d'une durée égale à celle de l'immobilisation du matériel dans la mesure où la durée totale de celle-ci dépasse 30 jours. En tout état de cause, la garantie prendra définitivement fin à l’expiration de cette prolongation pour l’ensemble du matériel, quelle que soit la date de l’intervention de BECKMAN COULTER France.

Exclusions de la garantie :

La garantie ne pourra être invoquée dans les cas suivants :

La garantie n’emporte à la charge de BECKMAN COULTER France pas d’autres obligations que celles ci-dessus précisées et il ne pourra notamment être réclamé de prestations ou indemnités quelconques du fait de la défection et de l’immobilisation des matériels.

11 - PRIX

Les prix sont nets et s'entendent, pour la France métropolitaine, franco de port, d'emballage et d'assurance pour toute commande supérieure à 400 € HT. Pour toute commande d’un montant inférieur ou pour toute livraison en urgence (24h.), un forfait de 25 € HT sera facturé pour « Frais de préparation et Expédition ».

12 - DEPARTEMENTS ET TERRITOIRES D’OUTRE-MER

Pour les départements et territoires d’Outre-Mer, tous les frais supplémentaires résultant de la distance sont à la charge du client, notamment en ce qui concerne le transport, la livraison des marchandises et les interventions du personnel de BECKMAN COULTER France au titre de la mise en service du matériel et de la garantie.

13 - CONDITIONS DE PAIEMENT

Sauf dispositions contractuelles contraires, les conditions de paiement sont les suivantes:

Un acompte de 30% à la commande pourra être exigé pour les matériels.

La société Beckman Coulter n’accorde pas d’escompte pour paiement anticipé.

14 - INTERETS DE RETARD

Il est stipulé que tout retard dans le règlement des sommes dues - acompte et solde du prix - emportera de plein droit, et à compter de la date d'exigibilité, des intérêts moratoires calculés au taux d’intérêt légal en vigueur multiplié par 1,5 .

15 - RESERVE DE PROPRIETE

Il est expressément convenu que les marchandises fournies demeureront la propriété de BECKMAN COULTER France jusqu’à complet paiement de leur prix, conformément aux dispositions de la Loi du 12 mai 1980. L'acheteur s'engage toutefois à assurer valablement les marchandises, dès leur entrée en sa possession, contre tous risques de perte, vol ou destruction. En cas de reprise des marchandises en application de la présente clause, les acomptes versés par l'acheteur seront intégralement acquis à BECKMAN COULTER France à titre de clause pénale et tous les frais engendrés par cette reprise seront à la charge de l'acheteur.

16 - RESPONSABILITE GENERALE

Les obligations de BECKMAN COULTER France sont strictement limitées à celles ci-dessus définies, et sa responsabilité ne peut en aucun cas être recherchée au-delà de l’objet même des contrats de vente, quelles que soient les conditions d'utilisation des marchandises et des fins poursuivies par les clients. En conséquence, la responsabilité de BECKMAN COULTER France ne peut en aucun cas être engagée du fait de l'utilisation des marchandises vendues et, de convention expresse, elle reste étrangère aux conséquences directes ou indirectes de cette utilisation, même en cas de défectuosité éventuelle. Le personnel de BECKMAN COULTER France intervenant chez le client est réputé placé sous la responsabilité de celui-ci pendant toute la durée de sa présence dans l’établissement du client.

En particulier, le client est seul responsable en cas de non respect des normes de sécurité (notamment alimentation électrique, gaz, radioactivité, incendie, décontamination et autres) et de non respect des règles légales et réglementaires sanitaires, d’hygiène de sécurité.

« En application de la règlementation en vigueur, le client assumera toute la responsabilité de l’élimination des déchets (financement et organisation) issus des équipements, objets du présent contrat ».

De convention expresse, les Tribunaux de Commerce de PARIS seront seuls compétents en cas de litige, même en cas de pluralité de défendeurs ou d'appel en garantie.

Les divers modes d'expédition ou de paiement, d’acceptation de règlement ainsi que du lieu de livraison, ne peuvent opérer novation ni dérogation à cette clause attributive de compétence.

1. FORMATION OF CONTRACT

These General Terms and Conditions of Sale cannot be varied without the written consent of the Company. The Company reserves the right to make such written variations asit thinks fit. No order resulting from any quotation, pro forma invoice, price list or similar document made or issued by the Company shall be binding unless and until accepted by the Company on its printed Acknowledgement of Order Form. Subject to written acceptance by the Company the Company shall not be bound by any conditions or warranties contained in the order form or any other documents of the Buyer. Orders accepted by the Company cannot be cancelled by the Buyer. The Company's liability shall not extend to wasted expenditure, loss of profit, increased loss or any other indirect, consequential or economic loss, injury or damage. This Contract is governed by the law of England and Wales. These conditions override and take the place of any other terms or conditions from or referred to by the Buyer. When an order is placed by a new customer no contractual obligation binding upon the Company shall arise until the receipt of two trade references and a Bank reference satisfactory to the Company.

2. PRICES

a. The price stated is the net ex- works price of the goods (inclusive of delivery costs). b. The Company is entitled to adjust the price stated to take account of clerical errors or any changes in specification or quantity.

3. PAYMENT

a. Time for payment is either: (i) for all deliveries within the United Kingdom, net 30 days from the date of the invoice. Or (ii) for deliveries outside the United Kingdom, after the Buyer has established a confirmed, irrevocable letter with a London Bank acceptable to the Company, payment shall be against presentation of shipping documents to such London Bank. b. Time for payment shall be of the essence. The Company shall be entitled to charge interest at the rate of two per cent per month from the date payment is due until the actual date of payment. If the Buyer fails to make full payment the Company shall be entitled to suspend any or all deliveries to be made under this or any other contract with the Buyer without releasing the Buyer from any obligations to the Company. c. The risk in the goods sold shall pass to the Buyer immediately upon delivery to the Buyer's premises or its transport. The Buyer's premises are specified in the Contract. d. If the Company concludes the contract of carriage and/or arranges for the insurance of the goods for transit the Company shall be deemed to be acting solely as agent of the Buyer and sub- sections (2) and (3) of section 32 of the Sale of Goods Act 1979 shall not apply. e. All shipments arranged by the Buyer and all goods when delivered will be insured at the Buyer's expense and for the Buyer's account unless specific request is made by the Buyer to the contrary. f. Time for delivery shall not be of the essence and the Company shall not be liable for any losses, injuries or damages whatsoever resulting from delay in delivery howsoever caused. Any delay shall not entitle the Buyer to cancel any order or orders or to refuse at any time to accept delivery. g. (i) The Company accepts no liability for loss or damage (howsoever occasioned) to any of the goods after the risk in the goods passes to the Buyer. Shortages must be notified in writing to the Company within 5 days after the receipt of the goods and the notification must state the actual weight and/or quantity of the goods delivered. (ii) The Company shall not be liable to replace any goods or any part thereof damaged prior to delivery unless the Purchaser within three days after the time of delivery notifies the Company in writing or by telefax message that the goods have been delivered damaged with particulars of the damage suffered and returns the damaged goods to the Company within seven days of delivery by the same carrier marked 'Carriage Free - Damaged in Transit'. (iii) If goods are not delivered within 14 days from receipt by the Purchaser of invoice(s) in respect thereof the Purchaser must forthwith notify the carrier in writing and send a copy of such notification to the Company. Upon receipt of such notification, the Company may instigate a search for the missing goods and on being satisfied that such goods have not reached their destination the Company will take steps to despatch to replace the goods non- delivered. h. The Buyer must make all payments without any withholding, deduction, set- off or counter claim.

4. PROPERTY

a. Until payment has been received in full: (i) The property in the goods shall remain in the Company and the Buyer shall not attempt to sell, pledge or otherwise deal with the goods in a manner prejudicial to the Company's rights but will keep the goods in its own possession and at its own premises. (ii) The Buyer will give or procure to be given to the Company, its servants or agents at all reasonable times access to the premises on which the goods are situate for the purpose of inspection or adjustment of the goods. b. The Company reserves the right to forthwith without notice repossess the goods and for that purpose may enter on any premises where the goods are believed to be situate in any of the following events: (i) If there is any breach of these General Terms and Conditions by the Buyer. (ii) If a petition shall be presented for the winding up of the Buyer. (iii) If a notice shall be given by the Buyer convening a meeting of its members to pass a resolution for the voluntary winding up of the Buyer. (iv) If distress or execution shall be levied or enforced upon or against the Buyer or an appointed Receiver or upon any property or assets of the Buyer. (v) If the Buyer shall stop payment or shall cease or threaten to cease to carry out business.

5. INFORMATION, SPECIFICATIONS, VARIATIONS AND DRAWINGS

a. Any information of whatever kind issued by the Company is approximate only and shall not bind the Company and no liability shall attach to any alteration or amendment to such information. b. Where the goods are ordered to the Buyer's specification the Buyer must deliver the specification to the Company within the time stipulated failing which the Company shall be at liberty to cancel the contract without any liability on the part of the Company whatsoever.

6. PACKING

The extent of any packing and/or protection will be at the Company's discretion. Special packing stipulated by the Buyer will be charged to the Buyer's account.

7. WARRANTY

The Company warrants to the Buyer that if the goods develop any defect in material or workmanship within the period specified in 7(e)from delivery to the original Buyer and investigation by the Company discloses that such a defect developed under normal and proper use, the Company's sole liability is to repair or, at its option, replace such defect subject to the following conditions: a. (If authorised by the Company) any goods claimed to be defective must be returned by the Buyer to the Company transportation charges paid. Any defect discovered will be repaired or replaced at the Company's discretion and the goods returned to the Buyer with all transportation charges paid. If the goods are found to not be defective they will be returned, transportation charges payable by the Buyer. b. The Company shall not in any event be liable to repair goods after the expiry of their natural working life as determined by the Company. c. No warranty is given by the Company in respect of proprietary articles, components and accessories not of its own manufacture. d. The Company may refuse any claim if a repair or modification is made to the goods other than by the Company's own authorised service personnel without written consent of the Company. The Company gives no other warranty whether implied by law or otherwise. e. Warranty period: (i) Newly manufactured instruments 12 calendar months (ii) Spare Parts 3 calendar months (iii) Manufactured consumables 12 calendar months or the product shelf life, whichever is the nearest to the date of despatch to the purchaser. (iv) No warranty is given on used or refurbished instruments or spares unless otherwise agreed in writing by the company.

8. STORAGE

If the Company does not receive forwarding instructions within a reasonable time after notification to the Buyer that the goods are ready for delivery, the Company reserves the right to make arrangements for storage of the goods at the Buyer's expense and on the terms that the Company is not liable for loss of, or damage to, the goods whilst in store.

9. IMPORT LICENCES

The Buyer will be responsible for obtaining import licences and complying with all regulations covering the admission of the goods into the country of destination and for payment of all customs duties and other transportation charges.

10. TAXES

Value Added Tax and other governmental taxes, if any, will be shown as a separate item upon invoices and shall be borne by the Buyer.

11. HEALTH AND SAFETY AT WORK

The Buyer shall be solely responsible for, and shall keep the Company indemnified against, any loss, liability or expense arising directly or indirectly from the use of the goods other than in accordance with the Company's installation and operating instructions.

12. FORCE MAJEURE

The Company shall be entitled to cancel or rescind any contract without liability for loss or damage resulting therefrom if the performance of it obligations under the contract is in any way adversely affected by any war, strike, lock- out, sit- in, trade dispute, flood, accident to plant or machinery or labour, failure or default by sub- contractors or any other cause whatsoever beyond the Company's control and, without prejudice to the Company's rights to claim such payments, the Company shall be under no obligation to continue or complete any order so varied.

13. ASSIGNMENTS

Any contract or rights thereunder of the Buyer may not be assigned in whole or in part without prior written consent of the Company.

14. CANCELLATION OR VARIATION OF ORDERS

In the event that the Purchaser purports to cancel or vary any order after an Acknowledgement of Order Form relating to such order has been despatched by the Company, the Purchaser shall pay to the Company such sum as the Company may certify to be loss of profit and all other costs, charges and expenses incurred by the Company out of or connected with such variation.

15. VALIDITY

Any provision of these Conditions which is void or unenforceable in any applicable jurisdiction shall to the extent of such invalidity or unenforceability be deemed severable and shall not affect any other provisions thereof.

16. HEADINGS

The Headings used in these Terms and Conditions are for convenience only and shall not affect the construction thereof.

PRICES

The prices set forth on Beckman Coulter's web site and in electronic mail from Beckman Coulter (i) are Beckman Coulter's list prices based upon manufacture of the quantity and type ordered for shipment and end use within the United States only, all products shipped for end use outside the United States shall be subject to Beckman Coulter's international prices, (ii) are subject to revision when interruption, engineering changes or changes in quantity or quality are caused or requested by Buyer, and (iii) do not include warranty service or installation outside the United States. Clerical errors made by Beckman Coulter are subject to correction.

SPECIFICATIONS

Weights and dimensions set forth in sales literature are not guaranteed unless previously certified in writing. Beckman Coulter may, without affecting the obligations under this sales order, make insignificant changes to the specifications of the product or products delivered under this sales order from those contained in sales literature.

TERMS OF PAYMENT

Terms of payment on this sales order are net thirty (30) days from date of the invoice unless otherwise specifically stated on the Beckman Coulter website. Invoices are payable at par on date due at any place of collection designated by Beckman Coulter in funds bankable at par. All orders are accepted subject to and the obligation of Beckman Coulter to make deliveries is subject to the right in Beckman Coulter to require of Buyer payment of all or any part of the purchase price in advance of delivery or to make shipment C.O.D. If buyer fails to make advance payment when requested to do so by Beckman Coulter or if Buyer is or becomes delinquent in the payment of any sum due Beckman Coulter (whether or not arising out of this sales order) or refuses to accept C.O.D. shipments, then Beckman Coulter shall have the right, in addition to any other remedy to which it may be entitled in law or in equity, to cancel this sales order, refuse to make further deliveries, and declare immediately due and payable all unpaid amounts for goods previously delivered to Buyer. Each shipment shall be considered a separate and independent transaction and payment therefore shall be made accordingly. "Buyer must notify Beckman Coulter within 30 days from invoice date if Buyer has not received products."

SHIPMENTS

(a) The cost of packaging for domestic shipments is included in the quoted price. For international shipments or where special packaging is specified or necessary, a charge will be made to cover such expense.

(b) All claims for damage or loss of insured shipments shall be immediately communicated by telephone or telex when possible to Beckman Coulter at 4300 N. Harbor Boulevard, Fullerton, CA 92834-3100, Attn: Insurance Department, for adjustment. Buyer shall immediately notify delivering carrier of loss or damage to the shipment and shall co-operate with Beckman Coulter in the adjustment of all claims. Buyer agrees to permit Beckman Coulter or Beckman Coulter's representative to inspect damaged goods.

(c) For shipments to and from places with the United States, all shipments - unless otherwise agreed in writing - shall be FOB point of shipment. The cost of this insurance shall be borne by Buyer.

(d) For shipments from the United States to ports and/or places outside the United States all shipments are - unless otherwise agreed in writing - FOB point of destination. Beckman Coulter's obligation to effect shipment of the products purchased by Buyer shall be fully discharged, and beneficial ownership, legal title, and all risk of loss or damage shall pass to Buyer when the products are delivered to the named place of destination in the country of importation. Upon arrival Buyer shall be entitled to conduct a reasonable investigation of the products purchased by it, but all claims for losses due to loss or damage to products while in transit shall be waived unless made immediately in writing by Buyer, but not more than thirty (30) days after arrival. If Buyer shall fail or refuse to accept delivery of any of the products for unverifiable claims for loss or damage to products occurring while in transit, all sums paid on deposit shall be retained by Beckman Coulter as liquidated damages; provided, however, that Beckman Coulter may recover in full its actual damage from Buyer in the event that actual damages exceed the amount retained as liquidated damages.

TERMINATION

Upon any termination or cancellation of this sales order by Buyer, either in whole or in part, Buyer agrees to promptly pay appropriate termination or cancellation charges invoiced by Beckman Coulter.

RETURNED GOODS

Returned goods will be subject to a restocking charge per our current Returned Goods Policy.

DELIVERY

The scheduled shipping or delivery date shown on the Beckman Coulter web site is our best estimate of the time the order will be shipped and Beckman Coulter assumes no liability for loss, general damages, or special or consequential damages due to delays.

TAXES

Federal, state or local excise, sales or use taxes shall be paid by Buyer.

PATENTS

Beckman Coulter shall defend any suit or proceeding brought against the Buyer so far as based upon an assertion that any product furnished under this sales order constitutes a direct infringement of any United States patent having a claim or claims covering solely the product itself, if notified promptly in writing and given authority, information and assistance (at Beckman Coulter's expense) for the defense of same, and Beckman Coulter shall pay all damages and costs awarded therein against Buyer. In case said product is in such suit held to constitute infringement and the use of said product is enjoined. Beckman Coulter shall, at its own option and at its own expense, either (1) procure for Buyer the right to continue using said product, (2) replace the same with a noninfringing product, (3) modify it so it becomes noninfringing, or (4) remove said product and refund the purchase price and transportation costs thereof. The foregoing obligations of Beckman Coulter shall not apply to any infringement claim based upon (i) any use of any product sold hereunder in any process or in conjunction with any other product, or (ii) any product manufactured to Buyer's design or any product having a design arising out of compliance with Buyer's specifications. The foregoing states the entire liability of Beckman Coulter or patent infringement by said product. If any suit or proceeding is brought against Beckman Coulter based on a claim that the goods manufactured by Beckman Coulter in compliance with Buyer's specifications and supplied to Buyer directly infringe any duly issued United States patent, then the patent indemnity obligations herein stated with respect to Beckman Coulter shall reciprocally apply with respect to Buyer.

WARRANTY

Subject to the exceptions and upon the conditions stated below, Beckman Coulter warrants that the products sold under this sales order shall be free from defects in workmanship and materials for one year after delivery of the products to the original Buyer by Beckman Coulter. If Beckman Coulter's investigation and factory inspection discloses that a defect developed under normal and proper use in accordance with Beckman Coulter's operating instructions within such one year period. Beckman Coulter agrees, at its option, either (i) to correct by repair or by replacement with an equivalent product any such defective product or (ii) to refund the purchase price therefore paid by Buyer.

(a) components or accessories manufactured by Beckman Coulter which by their nature are not intended to and will not function for one year are warranted only to give reasonable service for a reasonable time: what constitutes reasonable time and reasonable service shall be determined solely by Beckman Coulter. A complete list of such components and accessories is maintained at the factory;

(b) Beckman Coulter makes no warranty with respect to components or accessories not manufactured by it; in the event of defect in any such component or accessory Beckman Coulter will give reasonable assistance to Buyer in obtaining from the respective manufacturer whatever adjustment is authorized by the manufacturer's own warranty.

(c) any product claimed to be defective must, if required by Beckman Coulter, be returned to the factory, transportation charges prepaid, and will be returned to Buyer with transportation charges collect unless the product is found to be defective, in which case Beckman Coulter will pay all transportation charges;

(d) if the product is a reagent or the like, it is warranted only to conform to the quantity and content stated on the label at the time of delivery;

(e) Beckman Coulter may from time to time provide a special printed warranty with respect to a certain product, and where applicable, such warranty shall be deemed incorporated herein by reference;

(f) Beckman Coulter shall be released from all obligations under all warranties, either expressed or implied, if any product covered hereby is repaired or modified by persons other than its own authorized service personnel unless such repair by others is made with the written consent of Beckman Coulter.

(g) Beckman Coulter shall have no obligation hereunder to repair, replace or refund the purchase price of any instrument where the defect (i) is a result of or was caused in whole or in part by fire or explosion of any origin, riot, civil commotion, aircraft, war, or any act of God, including but not limited to lightning, windstorm, hail, flood or earthquake. (ii) was caused by Buyers misuse or abuse of such instrument (iii) was caused by moving or reinstallation of the instrument by anyone other than Beckman Coulter or (iv) is due to spillage.

IT IS EXPRESSLY AGREED THAT THE ABOVE WARRANTY SHALL BE IN LIEU OF ALL WARRANTIES OF FITNESS AND OF THE WARRANTY OF MERCHANTABILITY AND THAT BECKMAN COULTER SHALL HAVE NO LIABILITY FOR SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND OR FROM ANY CAUSE WHATSOEVER ARISING OUT OF THE MANUFACTURE, USE, SALE, HANDLING, REPAIR, MAINTENANCE OR REPLACEMENT OF ANY OF THE PRODUCTS SOLD UNDER THIS SALES ORDER.

If a Beckman Coulter Special Warranty (covering a designated item or items) is contained in the manual for or is otherwise shipped with such designated item or items, the terms and conditions specified therein are incorporated herein by reference and shall supplement this warranty. In the event of a conflict between the terms and/or conditions specified herein and those specified in such Special Warranty, the terms and/or conditions of the Special Warranty shall control.

Representations and warranties made by any person, including dealers and representatives of Beckman Coulter, which are inconsistent or in conflict with the terms of this warranty, shall not be binding upon Beckman Coulter unless reduced to writing and approved by an expressly authorized officer of Beckman Coulter.

CONTINGENCIES

Beckman Coulter shall be entitled to cancel or rescind this sales order without liability for loss or damage resulting therefrom if any product covered by this sales order is purchased for end use outside the United States or Canada or if the performance of its obligations under this sales order is in any way adversely affected by the occurrence of any contingency beyond the control either of Beckman Coulter or Beckman Coulter's suppliers, including but not limited to war (whether an actual declaration thereof is made or not), sabotage, insurrection, riot or other act of civil disobedience, act of a public enemy, failure or delay in transportation, act of any government or any agency or subdivision thereof affecting the terms of this sales order or otherwise, judicial action, labor dispute, accident, fire, explosion, flood, storm or other act of God, shortage of labor, fuel, raw material or technical or yield failure where Beckman Coulter has exercised ordinary care in the prevention thereof.

U.S. GOVERNMENT CONTRACTS

If the products to be furnished under this sales order are to be used in the performance of a U.S. Government contract or subcontract and a U.S. Government contract number shall appear on Buyer's order, those clauses of the applicable U.S. Government procurement regulation which are mandatorily required by Federal Statute to be included in U.S. Government subcontracts shall be incorporated herein by reference including, without limitation, the Fair Labor Standards Act of 1938, as amended.

FDA REQUIREMENTS

If any product listed on the face of this sales order is subject to regulations of FDA as a device, then as to said product only, sale and delivery is contingent upon successful completion and processing of a 510(k) notice for such product.

GENERAL

This sales order is made and entered into and shall be governed by the laws of the State of California.

SPECIAL WARRANTIES

FOR CHEMICALS, REAGENTS, SYNTHETIC PEPTIDES AND OTHER BIOLOGICAL MATERIALS

The products sold hereunder are warranted only to conform to the quantity and content stated on the label at the time of delivery (i) to the carrier for shipment if this sale is made f.o.b. point of shipment, or (ii) to the Buyer if this sale is made f.o.b. destination.

THERE ARE NO WARRANTIES WHICH EXTEND BEYOND THE DESCRIPTION ON THE LABEL OF THE PRODUCT OR ON THE FACE HEREOF. IT IS EXPRESSLY AGREED THAT THE ABOVE WARRANTY SHALL BE IN LIEU OF ALL WARRANTIES OF FITNESS AND OF THE WARRANTY OF MERCHANTABILITY AND THAT BECKMAN COULTER SHALL HAVE NO LIABILITY FOR SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND OR FROM ANY CAUSE WHATSOEVER ARISING OUT OF THE MANUFACTURE, USE, SALE, HANDLING, REPAIR, MAINTENANCE OR REPLACEMENT OF ANY OF THE PRODUCTS SOLD UNDER THIS SALES ORDER.

Representations and warranties made by any person, including dealers and representatives of Beckman Coulter, which are inconsistent or in conflict with the terms of this warranty (including but not limited to the limitations of the liability of Beckman Coulter as set forth above), shall not be binding upon Beckman Coulter unless reduced to writing and approved by an expressly authorized representative of Beckman Coulter.

FOR ALUMINUM & TITANIUM ANALYTICAL, ALUMINUM & TITANIUM FIXED ANGLE, ALL SWINGING-BUCKET, ZONAL, CONTINUOUS FLOW, AND ACCELERATION TEST ROTORS

These rotors are warranted (subject to the conditions specified below and in the warranty clause of the Beckman Coulter terms and conditions of sale in effect at the time of sale) against defects in materials or workmanship for Aluminum Fixed-Angle Rotors for 1000 runs or 2500 hours; Titanium Fixed-Angle Rotors for 5000 runs or 10,000 hours; Swinging-Bucket Rotors for 1000 runs or 2500 hours; Aluminum Analytical Rotors for 1000 runs or 1000 hours; Titanium Analytical Rotors for 5000 runs or 5000 hours; Zonal and Continuous-Flow Rotors for 1000 runs or 2500 hours; Acceleration Test Rotors for 1000 runs or 1000 hours, whichever occurs first, at any speed up to a maximum rpm (speed stamped on the rotor - properly reduced for fluid densities, high temperatures, certain load weights, certain belt and carrier configurations, tubes, tube caps, adapters, and centerpiece materials or configurations as described in the instructions for the rotor or Beckman Coulter ultracentrifuge in use). For Zonal and Continuous Flow, and Aluminum Fixed-Angle and Swinging-Bucket rotors, if the 5-year warranty period has not then expired, the warranty is then extended for an additional 1000 runs or 2500 hours at any speed up to 90% of the maximum rpm or until the expiration of the 5-year period, whichever occurs first. For Aluminum Analytical and Titanium Analytical Rotors, a run made at less than 75% of the rotor's maximum rpm will be counted as a run only the hours need not be logged.

REPLACEMENT

A defective rotor will be replaced by Beckman Coulter as its then current list price less a credit based upon the number of actual runs or hours, as the case may be up to the maximum number of warranted runs or hours, respectively, specified herein. The Buyer shall not receive a credit unless and until the claimed defective rotor and an up-to-date rotor log book or other acceptable up-to-date record of rotor use are returned to Beckman Coulter's facility in Palo Alto, California, or delivered to a Beckman Coulter Field Service Representative. The replacement price (cost to Buyer) for the respective rotors shall be calculated as follows: Replacement Price - Current Rotor List Price X RUNS (or HOURS which ever is greater)

CONDITIONS

1) This warranty is valid for five years from the date of shipment to the original Buyer by Beckman Coulter or an authorized Beckman Coulter representative.

2) This warranty extends only to the original Buyer and may not be assigned or extended to a third person without the written consent of Beckman Coulter.

3) This warranty covers the rotor only and Beckman Coulter shall not be liable for damage to the components under test, to parts external to the rotor, or to the ancillary supplies including but not limited to (i) bearings, (ii) seals, (iii) O-rings, (iv) capping mechanisms, (v) tubes, (vi) tube caps, (vii) tube adapters, (viii) thermistor assemblies, (ix) cell assemblies, (x) counterbalancers, (xi) rotor contents, (xii) tube contents, or (xiii) cell contents.

4) This warranty is void if the rotor is (i) operated or maintained in a manner contrary to the instructions in the manual for the Beckman Coulter rotor or ultracentrifuge in use, (ii) used in a centrifuge not of Beckman Coulter's manufacture, (iii) used in a Beckman Coulter ultracentrifuge that has been modified without the written permission of Beckman Coulter, or (iv) used with carriers, belts, or other insert devices not of Beckman Coulter's manufacture.

5) Should a Beckman Coulter ultracentrifuge be damaged due to the failure of a rotor, covered by this warranty, Beckman Coulter will supply free of charge (i) all ultracentrifuge parts required for repair (except the rotor drive unit which will be replaced at the then current price less a credit determined by the total number of revolutions completed, provided that such unit was manufactured or rebuilt by Beckman Coulter), and (ii) if the ultracentrifuge is currently covered by a Beckman Coulter warranty or service agreement, all labor necessary for repair of the ultracentrifuge.

6) Rotor cores and liners purchased concurrently with or subsequent to the purchase of a Zonal or Continuous-Flow Rotor are warranted only for a term co-extensive with that of the rotor for which the cores and liners are purchased.

7) Rotor Bucket Sets purchased concurrently with or subsequent to the purchase of a Swinging-Bucket Rotor are warranted only for a term co-extensive with that of the rotor for which the Bucket Sets are purchased.

FREE ROTOR INSPECTION SERVICE

Beckman Coulter, Inc. will provide free inspection of any rotor at the request of the user. Rotors will be routinely inspected if the ultracentrifuge in which they are used is covered by a Beckman Coulter Service Agreement. Upon receipt at the factory in Palo Alto, California, any Beckman Coulter rotor will be inspected free of charge by the Beckman Coulter Metallurgy Laboratory, whether the owner holds a Beckman Coulter Service Agreement or not. Before shipping a rotor, the owner should contact the nearest Beckman Coulter Sales and Service office and request a Returned Goods Authorization (RGA) form and packaging instructions. Rotor owners are urged to make use of this inspection service. The company maintains records on the date of shipment of all rotors and will supply this information to any owner questioning the age of a rotor. Such a request should always include the rotor serial number.
